ProArch is seeking an experienced In-House Counsel to join our legal team. In this role, you will provide expert legal guidance and support on a range of matters including corporate governance, contract negotiation, compliance, and risk management. You will work closely with various departments across the company to ensure that all legal obligations are met and to support the business in achieving its strategic goals. Key Responsibilities: Contract lifecycle management across all geos: Customer contracts/NDA’s/Scope of Work (SOW’s): Employment contracts Vendor contracts Contractor related contracts Support different business units/departments of ProArch group in various geos, with respect to contracts, starting with proposals going out to customers in the form of SOW’s and until storing the signed contracts in appropriate repositories for retrieval as and when required by identified person(s). Support change management/monitoring, and implement continuous automation, simplification, and standardization of processes for quicker response times and faster turnaround. Ensure compliance with all local and international laws. Show ownership in minimizing/mitigating risks for ProArch. Collaborate with customers, vendors, or partners as needed. Support Compliance and Legal Support: Ensure compliance with local laws where ProArch operates, including: Sales tax/VAT/GST laws Employment/Labor laws Tax laws Corporate law Get familiar with unfamiliar laws and provide necessary support. External Counsel Coordination: Coordinate with external counsel(s) in different geos as required. Risk Management: Support the CFO in managing various risks such as customer risks, lawsuit risks, and compliance risks. Assist in customer negotiations to manage potential risks. Other Responsibilities: Participate in special projects as they arise. Qualifications and Skills: 7+ years of experience in a corporate or in-house legal role with a legal qualification. Excellent negotiation, drafting, and analytical skills. Strong interpersonal and communication skills. Ability to work independently and as part of a team.
